These Terms of Service (“Terms”) govern your access to and use of the Zaïffer website, protocol, smart contracts, documentation, applications, and any related services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Introduction

Zaïffer (“Company”, “we”, “us”) operates a privacy-enhancing, non-custodial protocol built on public blockchain networks. The Services enable users to convert supported tokens into encrypted, confidential equivalents (“cTokens”), perform confidential transactions, and interact with decentralized applications using Fully Homomorphic Encryption (“FHE”).

These Terms apply worldwide. You are responsible for ensuring that your use of the Services complies with all applicable laws in your jurisdiction.

2. Definations

  • Protocol: The Zaïffer suite of smart contracts, cryptographic systems, and underlying technology.
  • User: Any individual or entity accessing or using the Services.
  • Wallet: A non-custodial blockchain wallet under the User’s sole control.
  • Network Fees / Gas Fees: Fees paid to blockchain validators, miners, or sequencers.
  • Service Fees: Fees charged by the Company for the use of certain actions within the Protocol.
  • Incentives: Rewards, cashback, referral bonuses, or any similar promotional programme.
  • Third-Party Services: Protocols, applications, or infrastructure not operated by the Company.

3. Eligibility

You represent and warrant that:

  • You are at least 18 years old.
  • You are not a resident, citizen, or entity subject to applicable sanctions laws (including OFAC, EU, Swiss SECO, UN sanctions).
  • You are not prohibited from using blockchain-based services under the laws of your jurisdiction.
  • You use the Services for lawful purposes only.

The Company may restrict access to certain jurisdictions at any time.

4. Description of Services

Zaïffer is a non-custodial cryptographic protocol. You interact directly with the Protocol using your own Wallet.

The Company does not:

  • Custody, control, or manage users’ private keys or assets.
  • Execute transactions on behalf of users.
  • Provide brokerage, exchange, payment services, or financial advice.

The Company does not guarantee absolute confidentiality, uninterrupted performance, or error-free operation of the Protocol, the underlying blockchain networks, or any third-party integrations. Confidentiality relies on multiple factors outside the Company’s control, including user behaviour, third-party software, and public blockchain infrastructure.

Use of the Protocol involves interacting with public blockchain networks and cryptographic systems that are experimental and subject to inherent risks.

5. Fees & Network Fees

5.1 Service Fees

In the course of providing the Services, the Company charges a variable percentage fee on certain actions within the Protocol (“Service Fees”).

Service Fees may change at any time and will be displayed in the interface or documentation.

5.2 Network (Gas) Fees

Transactions executed on blockchain networks require the payment of network fees (also known as “gas fees”) to validators or miners. These fees are not charged or controlled by the Company; they are non-refundable, may fluctuate significantly and unpredictably, and are always your responsibility, even if a transaction fails or reverts.

You acknowledge that network fees remain entirely outside of the Company’s control.

6. Rewards & Incentives Disclaimer

Zaïffer may offer rewards, referral bonuses, cashback, or other incentives (“Incentives”).

By participating, you acknowledge that:

  • Incentives are not guaranteed and may change or be discontinued at any time.
  • Incentives are provided on an as-is basis and do not represent a promise of profit or return.
  • Incentives may be subject to eligibility rules, vesting conditions, or revocation.
  • Incentives do not constitute securities, deposits, interest, or financial products.
  • You are solely responsible for any applicable tax obligations.

The Company is not liable for losses arising from modifications or termination of any incentive programme.

7. User Responsibilities

You are solely responsible for:

  • Maintaining control and security over your wallet, private keys, devices, and accounts.
  • Ensuring that your interactions with the Protocol are lawful.
  • Reviewing and understanding all actions before signing blockchain transactions.
  • Bearing all risks associated with your use of the Services.

Blockchain transactions are irreversible. The Company cannot recover lost, stolen, or incorrectly transferred assets.

8. Prohibited Activities

You agree not to use the Services for any unlawful, abusive, or harmful purpose, including but not limited to:

  • Violate any law or regulation.
  • Circumvent sanctions, compliance controls, or identity verification.
  • Engage in fraud, money laundering, terrorist financing, or other illicit conduct.
  • Attack, exploit, or interfere with smart contracts, cryptographic systems, or network infrastructure.
  • Enable access to minors, sanctioned persons, or other prohibited users.
  • Disrupt or overload the Protocol or its supporting systems.

The Company may restrict, suspend, or block access to the Services if unlawful, abusive, or high-risk behaviour is detected.

9. Third-Party Services and Integrations

The Protocol may interact with or depend on third-party applications, networks, or smart contracts. These third-party services are not controlled or operated by the Company.

You acknowledge that:

  • Third-party risks include smart-contract exploits, oracle failures, downtime, insolvency, censorship, and changes in terms.
  • The Company is not liable for losses caused by third-party services or infrastructure failures.
  • You use third-party integrations entirely at your own risk.

10. Risk & Acknowledgement

By using the Services, you acknowledge and accept that:

  • Blockchain networks, smart contracts, and cryptographic systems (including FHE) are experimental and may fail, contain vulnerabilities, or behave unexpectedly.
  • Asset values are volatile, transactions may fail or be delayed, and you may lose all digital assets involved in a transaction.
  • Confidentiality depends on multiple factors, including user behaviour and third-party systems, and cannot be guaranteed absolutely.
  • Regulatory changes or restrictions may affect your ability to use or access the Services.
  • You are solely responsible for securing your wallet, private keys, and devices; loss of keys results in permanent loss of assets.

You use the Services entirely at your own risk.

11. No Custody & No Compensation

The Company does not hold or safeguard your assets at any time.

You expressly acknowledge that the Company will not compensate, reimburse, or make you whole for any loss, including but not limited to, loss of digital assets, failed or reverted transactions, smart-contract or blockchain failures, network congestion or gas fee volatility, loss caused by third-party protocols or integrations, user error (e.g., wrong address), loss of access due to compromised private keys.

This clause applies to the maximum extent permitted by law.

12. Intellectual Property

The Zaïffer brand, website content, documentation, logos, and trademarks are owned by the Company. The Protocol’s open-source components remain governed by their respective licenses. No license is granted except as explicitly provided.

13. Privacy & Data Protection

Your use of the Services is governed by our Privacy Policy, which explains how we process personal data.

By using the Services, you consent to such processing under applicable Swiss law and GDPR standards.

14. Limitation of Liability

To the fullest extent permitted by law. The Company is not liable for indirect, incidental, consequential, punitive, or exemplary damages.

Nothing in these Terms excludes liability for gross negligence, wilful misconduct, or fraud, where such exclusions are not permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless the Company from any claims, losses, damages, liabilities, or expenses arising out of your use of the Services, your violation of these Terms, your breach of laws or regulations, or any third-party claim arising from your actions.

16. Governing Law & Dispute Resolution (Swiss Arbitration)

These Terms are governed by the laws of Switzerland, excluding conflict-of-law provisions.

Any dispute arising out of or in connection with these Terms shall be finally settled by arbitration under the Swiss Rules of International Arbitration of the Swiss Arbitration Centre, by one arbitrator, with:

  • Seat of arbitration: Geneva, Switzerland
  • Language: English

You waive any right to participate in class actions or representative proceedings.

17. Changes to the Terms

We may update these Terms from time to time.

Revisions become effective when posted on the website.

Continued use of the Services after changes constitutes acceptance of the updated Terms.

18. Miscellaneous

  • If any provision of these Terms is found invalid, the remaining provisions remain in effect.
  • You may not assign these Terms without our prior consent.
  • These Terms constitute the entire agreement between you and the Company regarding the Services.
